Are there are any investment limits on the Company’s shares?

Other than the maximum limit of 49% on total foreign ownership, there are no investment limits on the company's shares per the CMA & Exchange Rules and the Company's bylaws. Please also refer to Saudi Aramco’s Profile Page on the Tadawul website (www.tadawul.com.sa).

Who is eligible for retail bonus shares?

Each Saudi Arabian natural person, including Saudi female divorcee or widow with minor Saudi children (“Eligible Retail Bonus Investor”, provided that if a Subscription Form is submitted for a Saudi Arabian national applying for himself or herself and other persons appearing on such national’s family identification card, then each Saudi family member will be considered to be an Eligible Retail Bonus Investor), who continuously and uninterruptedly holds offer shares for 180 days from (and including) the first date that the shares begin trading on the Saudi Stock Exchange (“Tadawul”) (the “Bonus Holding Period”) will be eligible to receive one share (each a “Bonus Share”) for every 10 allocated offer shares so held, up to a maximum of 100 Bonus Shares. The Bonus Shares will be allocated from shares owned by the selling shareholder.

Where and when will I get my bonus shares?

The Securities Depository Center (“Edaa”) will transfer the Bonus Shares into the portfolio of all persons entitled thereto as soon as practicable (as determined by the Selling Shareholder in its absolute discretion), but in any event within 75 calendar days after the end of the Bonus Holding Period. The date of transfer of such Bonus Shares, once determined by the Selling Shareholder, will be announced by the Company on Tadawul’s website at the relevant time. No fractional Bonus Shares will be awarded and each Eligible Retail Bonus Investor is entitled to this incentive only once. Each of the Bonus Shares will be the same class and have all the same rights as the Offer Shares. No person will have any rights with respect to the Bonus Shares until the date such Bonus Shares are transferred into the portfolio of such person.

What is the Company’s dividend policy?

The Company’s dividend distribution policy was approved by the Selling Shareholder on 27/1/1441H (corresponding to 26 September 2019G) by a written resolution pursuant to Article 31/2 of the Bylaws. The policy states that it is the intention of the Board, in its discretion, to declare dividends on a regular basis with a view to building long-term shareholder value and providing sustainable dividend growth. In addition, the policy provides that dividends may be declared from net profits only after the Company has:
• Ensured that dividends are capable of being distributed by the Company with reference to its most current financial statements;
• Established any reserves to meet contingencies as determined from time to time at the discretion of the Board; and
• Taken into consideration its working capital requirements, near-term liquidity and any other factors or considerations that may be relevant in this regard, including but not limited to the implications of any dividend distributions on the Company’s capital structure, credit ratings and publicly communicated Gearing targets.

How will I receive dividends declared by the Company?

Dividends will be deposited into the most recent portfolio account associated with Saudi Aramco shares, as obtained from Tadawul database.

What currency will my dividend be paid in?

The dividend will be paid quarterly in SAR. When a dividend announcement is made in one quarter, it actually relates to the dividend in the previous quarter, e.g. we will announce the Q4 2019 dividend before the end of Q1 2020.

When will the dividend be announced?

The dividend for Q4 2019 is expected to be announced within three months of 31st December 2019. The dividend for Q1, Q2 and Q3 2020 is expected to be announced within 30 business days of the end of the preceding quarter..

When will the dividend be paid?

The Company will announce dividend payment dates in due course. The dividend will be paid within 15 days of entitlement to such dividends..

When is the ex-dividend date?

According to the Tadawul rules, it is two days before the record date.

What will be the dividend for the fourth quarter of 2019 as I have only held shares for part of the quarter?

The dividend for Q4 2019 is expected to be announced within three months of 31st December 2019 and will be paid within 15 days of entitlement to such dividends. Because the IPO took place in December 2019, the dividend relating to Q4 2019 has been split between the period before the IPO (when there was a single shareholder) and the period post the IPO. If you are an individual or institutional public shareholder then you are only entitled to the portion of the Q4 2019 dividend for the period post the IPO, i.e. from the period 5th December until 31st December 2019.

Upstream:
The Company is the world’s leading producer of crude oil and condensate. The Company manages the Kingdom’s unique reserves and resources base to optimize production and maximize long-term to promote long-term productivity of the Kingdom’s reservoirs and support the prudent stewardship of its hydrocarbon resources.

Downstream:
The Company has a large, strategically integrated global downstream business. The downstream segment’s activities consist primarily of refining and petrochemical manufacturing, supply and trading, distribution and power generation. The Company also has an integrated petrochemicals business within its downstream segment, which enables it to capture incremental margin in the hydrocarbon value chain.

Corporate:
The Company’s corporate segment primarily supports the activities of its upstream and downstream segments. The corporate segment includes technical services that are essential to the success of the Company’s core activities, as well as human resources, finance, corporate affairs and legal.
